Mutual Non-Disclosure Agreement (MNDA)

This Mutual Non-Disclosure Agreement (the "Agreement") is entered into by and between **Factzz Media LLC**, a Wyoming limited liability company, doing business as **Yalgar Consulting Company** ("YCC"), and the entity or individual engaging with YCC digital properties ("Participant").

1. Definition of Confidential Information

"Confidential Information" means all non-public, proprietary, or confidential information disclosed by one party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

2. Non-Disclosure Obligations

The Receiving Party shall:

• Use the same degree of care to protect the Disclosing Party's Confidential Information as it uses to protect its own.
• Not use Confidential Information for any purpose outside the scope of this Agreement.
• Limit access to Confidential Information to those of its employees, contractors, and advisors who need such access for purposes consistent with this Agreement.

3. Non-Circumvention

For a period of twenty-four (24) months from the date of disclosure, the Participant agrees not to circumvent YCC by leveraging proprietary frameworks, including but not limited to the **Zero-Decision Architecture™**, to initiate similar operational re-engineering independently or with a third-party competitor.

4. Term and Termination

The obligations of non-disclosure and non-use will remain in effect for a period of five (5) years from the date of disclosure, notwithstanding the termination of any underlying engagement.

5. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the **State of Wyoming**. Any legal action or proceeding arising under this Agreement will be brought exclusively in the courts located in Sheridan, Wyoming.
